Section 4.1 reaches any unit substantially similar in form, fit, or function, and §4.2 says so expressly.1 The 2022 side letter narrows the exception it is said to create: it permits sales of discontinued units only, and the DS-4471 was in production throughout.2 The June 2023 Northwind shipments are therefore a facial breach, and the most-favoured-nation clause independently entitles Vesper to the Northwind price.3
Background
Vesper and Halcyon executed the Supply Agreement on March 14, 2019, with a five-year term and two amendments. Halcyon began quoting the DS-4471 to Northwind in April 2023, qualified it in May, and shipped 6,140 units between June 18 and September 2, 2023.4 Halcyon disclosed neither the inquiry nor the shipments, though §4.3 required notice within ten business days.5
Discussion
A. Section 4.1 bars supply of any Compatible Unit. The exclusivity covenant is unqualified as to counterparty and product:
During the Term, Supplier shall sell the Apex-7 Actuator exclusively to Buyer and shall not sell, license, or otherwise supply the Apex-7 Actuator or any Compatible Unit to any third party.
Halcyon reads “Compatible Unit” as limited to units bearing the Apex-7 name. Section 4.2 forecloses that reading, defining the term to include any product marketed as compatible with, or as a replacement for, the Apex-7 Unit, “whether or not it is sold under the Apex-7 name.”1 Halcyon’s own qualification packet describes the DS-4471 as a drop-in replacement.6
B. The 2022 side letter narrows the carve-out rather than opening it. The side letter permits supply of units “discontinued and no longer offered for sale by Supplier.” The DS-4471 appears on Halcyon’s active price list for every quarter of 2023, and Chen conceded at deposition that it was never discontinued.2 Read against §4.2, the side letter removes a category from the covenant; it does not add one.
C. The MFN clause applies independently. Section 4.4 requires Halcyon to extend to Vesper any terms offered to a third party for a Covered Product within thirty days. The Northwind terms were $41.20 per unit against Vesper’s $47.90, and no extension was offered.3 The clause carries no discontinuation exception, so it reaches the shipments regardless of how §4.1 is construed.
Application
The June 18, 2023 shipments to Northwind are a facial breach of §4.1: the Compatible Unit language covers Halcyon’s substitute actuator, the side letter does not reach a unit in current production, and the failure to give third-party-inquiry notice is a separate breach of §4.3. Damages on the MFN theory are $6.148 million on the produced invoices, before any lost-profits measure.4
Open items
Two questions remain on this record. Halcyon has produced no engineering file for the DS-4471 dated before April 2023, which bears on when the substitute was conceived. And the tooling ledger identifies DS-4471 and DS-4472 as Vesper-owned, which Halcyon disputes without stating a basis; that dispute is briefed separately.
